		<description>I am interested in finding out about a situation that has occurred with our mutual benefit nonprofit. The current chairperson rewrote/edited our bylaws and removed any language that gave members rights. The few of us that know about it don&#039;t know what to do. Additionally, this same chairperson has written new bylaws and filed articles of incorporation to start a new non profit and the members have had no say in any of these transactions. The members have been told that he is going to dissolve the current mutual benefit non profit and start a new one but based on the bylaws that he edited out members rights and voting priviledges.

We could really use some advice and where do we turn to? We are in California.

		<description>I&#039;m trying to write our non-profit articiles and By-laws for an Art Association that has a mission to do community art projects and promote art in our area thought the artist membership.  My question is I&#039;m the founder and President...however, can I also be on the board of directors and in what capacity meaning can I also be the Chairman of the Board or the Seceretary of the Board when I sign the notary for the By-laws and Articles?

Also we do have membership but we don&#039;t want the membership to run the Association rather the Board of Directors...how shall I state that in by-laws?</description>
